This Amended and Restated Master Partnership, Broker Placement and Compliance Agreement (this“Agreement”) is entered into as of August 14, 2023 (the “Restatement Date”), by and amongCascade Timber Holdings, Inc., an Oregon corporation with its principal office at 1200 Forest ParkWay, Suite 900, Portland, Oregon 97209 (“Cascade”); Alder Point Partners, a partnership withoffices in Sacramento, California (“Alder Point”); and Bellhaven Advisory, with offices in Denver,Colorado (“Bellhaven”). Cascade, Alder Point and Bellhaven are each a “Party” and together the“Parties.”

In December 2021, Cascade and Alder Point negotiated a partnership under which Alder Pointwould originate, screen and market renewable energy tax credits issued under the Coastal SolarCredit Program (the “Program”) supported by conservation easements over timberland parcels inOregon, Washington and California. 14.2 Termination for Convenience. Any Party may terminate its participation in this Agreement on thirty (30) days’ written notice, consistent with Section 4 of Bellhaven_Coastal_Solar_Placement_Agreement.pdf, provided that termination does not relieve that Party of any obligation under Articles 5, 9, 10 or 13.

14.3 Termination for Cause. Cascade may terminate this Agreement as to Alder Point or Bellhaven immediately on written notice if that Party (a) materially breaches this Agreement and fails to cure within ten (10) business days after notice, (b) is found to have made a materially false representation, (c) destroys, alters or withholds a Relevant Record, or (d) loses or fails to hold any license required under Article 6.

How much can Cascade recover if a broker misbehaves?

Not much. Direct damages are capped at the fees paid under Article 4 in the 24 months before the claim, a fraction of what Cascade has at stake.

§13.5 Limitation“Each Party’s aggregate liability for direct damages under this Agreement is limited to the fees paid or payable under Article 4 in the twenty-four (24) months before the claim.”
